Wholesale Trade Accounts (How to Apply & Ordering Information)

TERMS OF SALE 

Welcome to Elizabeth's Boutique. Please read these Terms of Sale ("Terms") carefully before applying for a wholesale account. By applying, you agree to be bound by these Terms. 

Eligibility

To be eligible for a wholesale account you must be a registered retail business and comply with our selective distribution system. This includes criteria such as business reputation, after-sales service quality, and product knowledge. We reserve the right to evaluate potential resellers based on these and other relevant factors. 

No Resale on Third-Party Platforms

Unless explicitly agreed upon in writing by Elizabeth's Boutique, products purchased through the wholesale account are for resale only in your retail store or on your e-commerce site. Reselling our products on third-party platforms such as Amazon, eBay, Etsy, Walmart without the express written consent of Elizabeth's Boutique is strictly prohibited. 

Payment

Payment must be made in full before products are handmade to order and shipped. We accept PayPal, all major Credit Cards and Bank Transfer. We will hold the goods awaiting payment for a maximum of 10 working days after which the order will be cancelled. Non-payment may lead to account suspension or termination. 

Termination

We reserve the right to suspend or close the account at any time.  

Returns and Refunds

We want you to be happy with your order, we are determined to have each and every purchase result in a happy customer. Because everything here at Elizabeth's Boutique is handmade, there is some potential for human error. Usually, our quality control department will pick up on this and everything will be sorted before your order is even dispatched, however on the rare case that something does slip through then all you need to do is let us know. Take a look at the details below on how to do that: 

Complaints or claims must be notified to us within fourteen days of receipt of goods, or in the case of non-delivery, in a reasonable time after the goods were expected to arrive.

If a product is faulty in any way, you can return it within 14 days. Contact Elizabeth quoting your name and order number. Please provide a digital image of the fault (along with a clear description of the problem) in an email to Elizabeth at elizabeth@elizabethsboutique.co.uk. In many cases, remedy action can be taken
as soon as substantiation of the claim is clear via email.  If the fault cannot be verified over the phone or email, you may need to return the item to us for inspection.

In the unlikely event of a manufacturing fault, it will be repaired or replaced free of charge.  Manufacturer faults cover scratches on the product, stitching issues and hemming issues. We, the manufacturer, will decide what falls under manufacturer faults. 

All orders made through wholesale accounts are regarded as Business to Business contracts and are not covered by Consumer rights act as wholesale accounts are regarded as businesses. Businesses cannot expect a legal remedy in respect to Fair wear and tear, misuse or accidental damage, or if they decide that they no longer want the item.

We may, at our discretion, look into other solutions.

Intellectual Property Rights

All intellectual property rights related to our products, including but not limited to trademarks, trade names, logos, copyright, and patents, remain the exclusive property of Elizabeth's Boutique.  

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by a force majeure event, including but not limited to acts of God, natural disasters, strikes, or governmental actions. 

Confidentiality

The reseller agrees to keep confidential all non-public information that it receives from Elizabeth's Boutique that is marked as confidential or that the reseller should reasonably know to be confidential. This obligation shall survive the termination of these Terms. 

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with UK law. Any disputes arising out of or in connection with these Terms shall be resolved through mediation. 

Procedure for Placing Orders 

Preferred method for placing orders is through our dedicated wholesale website at https://elizabethsboutique.co.uk/collections/wholesale-store. An account is required for accessing the full catalogue and placing orders. Exceptions may be made, upon agreement, to accept orders via email sent to elizabeth@elizabethsboutique.co.uk. 

Order Confirmation 

Upon placing an order, customers will receive an acknowledgement of their order through email.  

Delivery

Delivery times are stated in good faith. Wherever a delivery time is stated, it serves as a guide timeline and we do not warrant that the products will be with you on a specific date. We will do our best to meet these timelines. Over 96% of our products are delivered inside our quoted timelines.  Please bare in mind at the time of your order that all items are handmade to order at the time of your purchase so please bare this in mind at the time of ordering.

Shipping to anywhere outside the UK may attract local customs and duty charges, which are beyond our control are based on the customs laws of the receiving territory. We are not obliged to indemnify such costs should they arise, and they will become a matter for the recipient to cover all custom and tariff charges.

Standard orders are typically dispatched within a span of seven to twenty working days after your purchase dependant on the size of your order through a courier service, with tracking information provided. Larger orders that require manufacturing may experience longer delivery times. Please contact Elizabeth for any further details including ALL your details ie. Size of your intended order and what products so she can provide guidance on the expected production and delivery times which may fluctuate throughout the year. 

Pricing and Discount Structure

The standard wholesale pricing entails a discount of between 20% and 50% off the Recommended Retail Price (RRP) or Manufacturer's Suggested Retail Price (MSRP), excluding Value Added Tax (VAT) or other relevant taxes, calculatted on the size of your order. 

Certain product categories may be priced lower than the standard 20%. These deviations are displayed on the respective collection page on our website or can be obtained via email to elizabeth@elizabethsboutique.co.uk.

For Customers in the UK

Wholesale prices are presented exclusive of UK VAT.  

VAT will be applied to all orders shipped within the UK to registered UK businesses. As part of the account creation process, businesses will be required to provide their UK VAT registration number. Prices are subject to change, and customers will be notified of any alterations . 

For Customers in the USA

All wholesale prices are displayed in US dollars (please let me know if this is not the case), and payments will be collected in the same currency. The MSRP/RRP prices shown on our website are presented in both US dollars and UK pounds sterling. The price you pay will not include import duties and sales taxes, which if applicable must be paid directly to the shipping courier to facilitate the release of your order from customs. Please note that we are unable to provide precise costs for these charges as they may vary. We recommend contacting your local customs office for further information. 

For International Customer

Elizabeth's Boutique delivers products to over 50 countries worldwide. All wholesale prices are presented exclusive of UK VAT, and customer is outside of the UK will not have UK VAT added to their orders. The MSRP/RRP prices shown on our website are displayed inclusive of VAT. Prices are subject to change, and customers will be notified of any alterations. The price you pay will not include import duties and sales taxes, which if applicable must be paid directly to the shipping courier to facilitate the release of your order from customs.

Minimum Order Requirements

A minimum order of £250.00/$250.00 is required but please note that minimum quantities may apply to specific products. 

Payment Terms

All invoices, inclusive of goods and delivery charges, must be paid prior to shipment, in £Pounds Sterling (US customers will pay in US dollars). Payments can be processed at the point of checkout using either a debit or credit card, or through wire/bank transfers to Elizabeth's Boutique. Specific details for bank transfers can be made available upon request. 

Reporting of Shortages

Upon receipt of goods, customers are advised to verify the quantity of items against the corresponding invoice or delivery note. Any discrepancies or shortages should be reported to Elizabeth's Boutique within a period of three working days post receipt. A full credit will be provided for any shortages reported in compliance with this procedure. Any such shortages should be communicated via email to elizabeth@elizabethsboutique.co.uk. 

Damaged Goods

In the unfortunate event that an order or items within an order are received in a damaged condition, they may be returned for a complete refund or exchange. Any such damages must be reported within three working days of receipt. Damages should be reported via email to elizabeth@elizabethsboutique.co.uk. 

Shipping Costs

Products are dispatched from our warehouse located in the United Kingdom. As such, international customers may be subject to import taxes imposed by their respective countries, for which they will be solely responsible. Our wholesale customer service team is available to provide a list of our products' tariff/harmonised codes upon request.  

Please note that shipping costs will be calculated and added to your order during the checkout process.
